Terms of Service

Introduction
These Terms of Service govern your use of Pactar (“the Service”), operated by Pactar (“we”, “us”, or “our”). By accessing or using Pactar, you agree to be bound by these terms. If you do not agree, do not use the Service.
1. What Pactar Does
Pactar is a contract collaboration and e-signing platform that allows users to upload, negotiate, and sign contracts with counterparties. We provide tools to help you understand and negotiate contracts — we do not provide legal advice. Nothing in the Service constitutes legal advice, and Pactar is not a law firm. You should consult a qualified attorney for legal guidance.
2. Accounts and Teams
To use Pactar, you must create an account. You are responsible for maintaining the security of your account credentials. You may not share your account with others.
When you sign up, a team workspace is created for you automatically. You may invite other users to your team. You are responsible for all activity that occurs within your team workspace.
3. Acceptable Use
You agree not to use Pactar to:
- Upload contracts or documents containing unlawful, fraudulent, or deceptive content
- Impersonate another person or entity
- Attempt to gain unauthorized access to other users’ contracts or data
- Use the platform to facilitate illegal agreements or transactions
- Reverse-engineer, scrape, or otherwise extract data from the Service
- Interfere with the operation of the Service or its infrastructure
We reserve the right to suspend or terminate accounts that violate these terms.
4. Contracts and Documents
You retain full ownership of all contracts and documents you upload to Pactar. By uploading a document, you grant Pactar a limited, non-exclusive license to process and store that document solely for the purpose of providing the Service to you.
We do not read, analyze, or share your contract content with any third party except as necessary to operate the Service (for example, passing text to an AI model for summarization — see our Privacy Policy for details).
You are solely responsible for the legal validity, accuracy, and enforceability of any contract created or signed through Pactar. Pactar provides the tooling; the legal relationship is between you and your counterparty.
5. E-Signatures
Pactar integrates with Docuseal to provide electronic signature functionality. E-signatures facilitated through Pactar are intended to be legally binding under applicable electronic signature laws, including the U.S. ESIGN Act and EU eIDAS Regulation where applicable.
However, Pactar makes no warranty that any specific signature will be recognized as legally binding in your jurisdiction. You are responsible for determining whether e-signatures are appropriate for your use case.
6. Pricing and Payments
Pactar offers a free tier, a pay-as-you-go tier, and an unlimited subscription tier. Prices are as listed on our Pricing page and may change with 30 days notice.
Pay-as-you-go charges are non-refundable once a contract has been created. Subscription charges are billed monthly and may be cancelled at any time. Upon cancellation, you retain access until the end of the current billing period.
All payments are processed by Stripe. Pactar does not store your payment card details.
7. AI Features
Pactar uses the Anthropic Claude API to generate plain-language summaries and flags for contract sections. These summaries are informational only and do not constitute legal advice. AI-generated content may contain errors or omissions. You should not rely solely on AI summaries when making legal or business decisions.
8. Service Availability
We aim to keep Pactar available and reliable, but we do not guarantee uninterrupted access. We may perform maintenance, updates, or emergency changes that temporarily affect availability. We will communicate planned downtime where possible.
9. Intellectual Property
The Pactar name, logo, and product design are owned by Pactar and may not be used without our written permission. The software underlying the Service is proprietary.
10. Limitation of Liability
To the maximum extent permitted by law, Pactar shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service. Our total liability to you for any claim shall not exceed the amount you paid to Pactar in the three months prior to the claim.
11. Termination
You may delete your account at any time. We may suspend or terminate your access if you violate these terms, or if we discontinue the Service. Upon termination, your data will be retained for 30 days and then permanently deleted, except where we are legally required to retain it.
12. Governing Law
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
13. Changes to These Terms
We may update these terms from time to time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use of the Service after that date constitutes acceptance of the new terms.
